This Partner Agreement (“Agreement”) is entered into between ENTERPRISE MANAGEMENT AND HOLDINGS, LLC d/b/a Deductably, located at 32 N Gould St, Sheridan, WY 82801 (“Deductably,” “we,” or “us”) and the individual or entity enrolling in the Deductably Partner Program (“Partner,” “you,” or “your”). By applying to or participating in the Partner Program, you agree to be bound by the terms of this Agreement.

1. Program Overview

The Deductably Partner Program is an affiliate and referral program that enables qualified professionals to earn recurring commissions by referring new users to Deductably. Partners receive a unique referral code and can track referrals and commissions through the Partner Dashboard.

The Partner Program is limited in scope to referral and commission tracking. It does not include marketplace features, white-label capabilities, or any services beyond those explicitly described in this Agreement.

2. Eligibility and Approval

The Partner Program is open to licensed professionals and qualified business entities, including but not limited to:

Admin Approval Required: All partner applications are subject to review and approval by a Deductably administrator. Your referral code will not be activated until your application has been approved. Deductably reserves the right to accept or reject any application at its sole discretion and is not obligated to provide a reason for rejection.

3. Referral Codes and Attribution

Upon approval, each Partner is assigned a unique referral code. When a new user subscribes to Deductably using your referral code, that user is attributed to your partner account. Attribution is tracked automatically through the Deductably platform.

Partners are responsible for sharing their referral codes through their own channels. Referral codes must not be used in misleading, deceptive, or spammy contexts. Deductably reserves the right to revoke referral codes that are being misused.

4. Commission Structure

4.1 Commission Rate

Partners earn a 30% recurring commission on subscription payments made by users they refer to Deductably. Commissions are calculated based on the net subscription amount received by Deductably (after any payment processing fees, refunds, or chargebacks).

4.2 Commission Lifecycle

Each commission follows this lifecycle:

  1. Pending — A referred user has made a subscription payment. The commission is recorded but not yet eligible for payout.
  2. Approved — The commission has cleared the Net-30 holding period and is eligible for the next payout cycle.
  3. Paid — The commission has been disbursed to the Partner.
  4. Cancelled — The referred user cancelled their subscription, issued a chargeback, or received a refund before the commission was paid. Cancelled commissions are not paid out.

4.3 Recurring Nature

Commissions are earned on each recurring subscription payment made by a referred user for as long as that user maintains an active paid subscription. If a referred user cancels their subscription, no further commissions are generated for that user.

5. Payout Terms

5.1 Payout Schedule

Commissions are paid on a Net-30 basis. This means commissions become eligible for payout 30 days after Deductably receives the corresponding subscription payment from the referred user.

5.2 Payout Method

The primary payout method is through a supported payment processor integration configured via the Partner Dashboard. If the primary method is unavailable or not set up, Deductably may issue payouts via alternative supported methods (such as bank transfer or electronic payment) on a case-by-case basis. Partners are responsible for configuring and maintaining their payout information in the Partner Dashboard.

5.3 Minimum Payout

Deductably reserves the right to set a minimum payout threshold. Commissions below the threshold will roll over to the next payout cycle.

5.4 Taxes

Partners are solely responsible for reporting and paying all applicable taxes on commissions received. Deductably may require tax documentation (such as a W-9 for U.S.-based partners) before processing payouts.

Approved partners have access to the Partner Dashboard, which provides the following features:

The Partner Dashboard is the primary tool for managing your participation in the Partner Program. Features of the dashboard may be updated from time to time at Deductably’s discretion.

8. Intellectual Property

Deductably grants Partners a limited, non-exclusive, revocable license to use Deductably’s name and logo solely for the purpose of promoting Deductably through the Partner Program. This license does not transfer any ownership rights. Partners must not alter Deductably’s trademarks or use them in a way that implies endorsement, sponsorship, or affiliation beyond the Partner Program.

9. Termination

9.1 By Partner

Partners may close their account and withdraw from the Partner Program at any time by emailing partners@deductably.com. Upon termination, any approved but unpaid commissions will be paid out in the next payout cycle, subject to the minimum payout threshold. Pending commissions that have not yet cleared the Net-30 period will be evaluated and paid if they subsequently clear.

9.2 By Deductably

Deductably may suspend or terminate a Partner’s account at any time, with or without cause, by providing written notice via email. Grounds for termination include, but are not limited to: violation of this Agreement, fraudulent activity, misrepresentation, inactivity, or conduct that harms Deductably’s reputation. In the event of termination for cause (e.g., fraud), Deductably reserves the right to withhold unpaid commissions.

10. Limitation of Liability

To the maximum extent permitted by law, Deductably’s total liability to any Partner under this Agreement shall not exceed the total commissions paid to that Partner in the twelve (12) months preceding the claim. Deductably shall not be liable for any indirect, incidental, consequential, or special damages arising from participation in the Partner Program.

11. Disclaimer

Deductably is a tax deduction tracking tool and does not provide tax advice, legal advice, or financial planning services. Partners must not represent Deductably as a substitute for professional tax or legal counsel. Nothing in this Agreement creates an employment, joint venture, or agency relationship between Deductably and any Partner. Partners are independent contractors.

12. Modifications

Deductably reserves the right to modify this Agreement, the commission rate, payout terms, or any aspect of the Partner Program at any time. Partners will be notified of material changes via email or through the Partner Dashboard. Continued participation in the Partner Program after such notice constitutes acceptance of the modified terms.

13. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of Wyoming, without regard to its conflict of laws provisions. Any disputes arising under this Agreement shall be resolved in the courts located in Sheridan County, Wyoming.
